Agreement to Terms

These Terms of Service ("Terms") govern your use of the ValiqAI web application quality scanning platform ("Service") operated by ValiqAI ("we", "us", "our").

By creating an account or using ValiqAI, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the application. Your continued use of the Service after changes are posted means you accept the updated Terms.

Description of Service

ValiqAI is an automated web application quality assurance platform. The Service allows you to:

  • •Scan websites and web applications for bugs, accessibility issues, broken functionality, and other quality problems
  • •Receive automated reports with findings, screenshots, and diagnostic data
  • •Schedule recurring scans and integrate with your development workflow
  • •Collaborate with team members through organizations
  • •Connect to third-party services (Slack, Jira, GitHub, etc.) for notifications and issue tracking

Account Registration

To use ValiqAI, you must create an account. When you register, you agree to:

  • •Provide accurate, current, and complete information
  • •Keep your account information updated
  • •Keep your password secure and confidential
  • •Notify us immediately of any unauthorized access to your account
  • •Be at least 13 years old (or 16 in the EU)

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage resulting from unauthorized use of your account.

Acceptable Use

You agree to use ValiqAI only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

Unauthorized Scanning

  • •Scan websites you do not own or have explicit permission to scan
  • •Use ValiqAI to perform security penetration testing without authorization
  • •Scan websites in a way that violates their terms of service
  • •Use ValiqAI to gather competitive intelligence on websites you do not own

Harmful Activities

  • •Use the Service to distribute malware, viruses, or other harmful code
  • •Attempt to gain unauthorized access to our systems or other users' accounts
  • •Interfere with or disrupt the Service or servers
  • •Circumvent any security measures or rate limits

Illegal Content

  • •Scan websites containing illegal content
  • •Use ValiqAI for any purpose that violates applicable laws
  • •Infringe on intellectual property rights of others

Abuse of Service

  • •Create multiple accounts to circumvent usage limits
  • •Resell or redistribute access to the Service without permission
  • •Use automated tools to access the Service beyond what we provide (API)
  • •Reverse engineer, decompile, or disassemble any part of the Service

Subscriptions and Payments

Free Tier

We offer a free tier with limited features. The free tier is provided "as is" and may be modified or discontinued at any time with reasonable notice.

Paid Subscriptions

Paid plans are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing to a paid plan, you agree to:

  • •Authorize us to charge your payment method for recurring fees
  • •Keep your payment information current

Price Changes

We may change subscription prices with at least 30 days notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

Cancellation

You can cancel your subscription at any time from your account settings or by contacting support. When you cancel:

  • •Your subscription remains active until the end of the current billing period
  • •You will not be charged for the next billing period
  • •Your account will revert to the free tier when the paid period ends

Intellectual Property

Our Content

The Service, including its design, features, functionality, code, documentation, and content (excluding your data), is owned by ValiqAI and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

Your Content

You retain ownership of the URLs you submit, the websites you scan, and any content you upload. By using the Service, you grant us a limited license to access, store, and process your content solely to provide the Service to you.

Scan Results

Scan results, findings, and reports generated by ValiqAI belong to you. You may use, share, and export them as you see fit. We may use anonymized and aggregated data from scans to improve the Service, but we will not share your specific scan results with third parties without your consent.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without any restriction or compensation to you.

Third-Party Services

ValiqAI integrates with third-party services (Slack, Jira, GitHub, Stripe, etc.). Your use of these services is governed by their respective terms of service. We are not responsible for the content, privacy practices, or operations of third-party services.

When you connect a third-party service, you authorize us to access and use information from that service as needed to provide our features. You can disconnect integrations at any time from your account settings.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • •Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • •Warranties that the Service will be uninterrupted, error-free, or secure
  • •Warranties regarding the accuracy, completeness, or reliability of scan results
  • •Warranties that the Service will meet your specific requirements

ValiqAI is a tool to help you find issues, but we cannot guarantee that our scans will catch every bug or problem on your website. You remain responsible for the quality and functionality of your own applications.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIQAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • •Any indirect, incidental, special, consequential, or punitive damages
  • •Loss of profits, revenue, data, or business opportunities
  • •Damages arising from bugs or issues that our scans failed to detect
  • •Damages arising from your reliance on scan results
  • •Damages resulting from unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless ValiqAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • •Your use of the Service
  • •Your violation of these Terms
  • •Your violation of any rights of another party
  • •Your scanning of websites without proper authorization

Account Termination

We may suspend or terminate your account at any time if:

  • •You violate these Terms or our Acceptable Use Policy
  • •We are required to do so by law
  • •Your account has been inactive for an extended period
  • •We discontinue the Service (with reasonable notice)

You can delete your account at any time from your account settings. Upon termination, your right to use the Service ends immediately, and we may delete your data according to our data retention policies.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for violations of intellectual property rights.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

General Provisions

  • •Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and ValiqAI.
  • •Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
  • •Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • •Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights to an affiliate or successor.
  • •Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, wars, strikes, or internet outages.
